“The Perfect Combination Rap Challenge” Contest -- Official Rules

OFFICIAL RULES
NO PURCHASE NECESSARY
OPEN TO LEGAL RESIDENTS OF THE 50 UNITED STATES and D.C. (EXCLUDING PUERTO RICO, THE U.S. VIRGIN ISLANDS, AND OTHER COMMONWEALTHS, TERRITORIES AND POSSESSIONS), 18 YEARS OR OLDER.

1. HOW TO ENTER: “The Perfect Combination Rap Challenge” Contest (the “Contest”) begins at 12 noon EST March 28, 2008 and ends at 6pm EST June 16, 2008. To enter the Contest, entrants must enter either the North or South portion of the Contest in the manner set forth in Section 1(x) and 1(y) below. All Contest entrants must (i) read and acknowledge that they understand and will comply with these Official Rules, (ii) agree to and sign any other documentation required by Sponsor (as defined below) in connection with their participation in the Contest, and (iii) perform individual ninety second (00:00:90) raps, without music.
The rap video submissions must comply with the following standards:
a) Rap video must be no more than ninety seconds (00:00:90) in length;
b) Rap video must include only the entrant and not anyone else;
c) Rap lyrics must be 100% original and not infringe upon any copyrights, trademarks or other intellectual property;
d) Rap must be “radio-friendly” and contain absolutely NO obscene, profane or other objectionable words; sexually explicit or derogatory lyrics, images or gestures; or objectionable content of any form; and
e) Rap must not mock, ridicule or disparage the contest sponsors, or their products or services, or any ethnic, religious or national group, gender, or sexual orientation.
BET Interactive LLC (“BET.com”) and The Hershey Company reserve the right, in their sole and absolute discretion, and disqualify any entrant that violates these standards.

(x) To enter the “South” portion of the Contest (“Peanut Butter”):
Attendees of BET’s Spring Bling in Riviera Beach, Florida may enter the South portion of the Contest between March 28, 2008 and March 30, 2008 (“South Selection Period”). Entrants will be randomly chosen by BET.com while they are attending the Spring Bling event and must perform a rap that is taped by BET.com that meets the above-referenced criteria. After the close of the South Selection Period, BET.com, in its sole discretion, will choose eight (8) “South” contestants to proceed to the next phase of the Contest. Contestants will be chosen by BET.com based on the originality and creativity of their rap videos. BET.com will randomly group the eight (8) contestant videos into four (4) pairs and allow BET.com users to vote for the best performance out of each pair. BET.com users will vote online, commencing on April 8, 2008 at 12:00 noon EST and ending on May 5, 2008 at 12:00 noon EST (“South Pair Voting Period”) (as set forth in the schedule in Section 5 below), on the best performance out of each four (4) South pairs. Each winner of the South pairs will become a semi-finalist. Between May 6, 2008 at 12:00 noon EST and May 12, 2008 at 12:00 noon EST, BET.com users will vote to select the “South Grand Finalist” from among the four (4) “South” semi-finalists who will be announced on May 12, 2008.

(y) To enter the “North” portion of the Contest (“Chocolate”):
Participants must be physically waiting in the line, at times designated on the Perfect Combination Rap Challenge Contest page on BET.com, to appear in the audience shows taped at BET Studios in New York City located at 530 W. 57th Street New York, NY 10019 between the dates of April 28, 2008 and June 16, 2008.
For each of four (4) consecutive weeks during the Contest starting on April 28, 2008 and ending on June 9, 2008 (“North Selection Period”), BET.com will randomly choose contestants from the BET audience lines in New York City to give them an opportunity to participate as a “North” contestant in the Contest. To participate in the contest, entrants must perform a rap taped by BET.com that meets the above-referenced criteria. BET.com will choose two (2) contestants each week during the North Selection Period, based on originality and creativity of their rap videos, to compete as one of four (4) North pairs. Commencing on May 13, 2008 at 12:00 noon EST and ending on June 9, 2008 at 12:00 noon EST (the “North Pair Voting Period”) (as set forth in the schedule Section 5 below), BET.com users will vote to select the best performance out of each North pair. Each winner of the North pairs will become a semi-finalist, for a total of four (4) semi-finalists. Between June 10, 2008 at 12:00 noon EST and June 16, 2008 at 12:00 noon EST, BET.com users will vote to select the “North Grand Finalist” from the four (4) North semifinalists. The North Grand Finalist will be announced on June 16, 2008.

(z) Combo Rap Performance:

On or after June 17, 2008, the South Grand Finalist and the North Grand Finalist will tape their rap performances, at a location determined by BET, and BET will combine their performances into a Combo Rap Performance that will air on www.BET.com on or by June 24, 2008.
BET.com will select, in its absolute and sole discretion, the people who will go on to participate as contestants in the Contest. BET.com reserves the right to modify, suspend or terminate the promotion by giving such notice, in any form and manner deemed appropriate by BET.com. Should the promotion be modified, suspended or terminated as aforesaid, the prize will nevertheless be awarded from all eligible entries received prior to (or after, if applicable) the modification, suspension or termination and in accordance with these Official Rules.

2. ELIGIBILITY: This Contest is open only to legal residents of the United States (excluding Puerto Rico, the U.S. Virgin Islands, and other commonwealths, territories, and possessions) 18 YEARS OR OLDER as of March 28, 2008. Employees, and their immediate families (spouses, parents, children, siblings, and their respective spouses), including household members of The Hershey Company, Black Entertainment Television LLC, and BET Interactive, LLC, (BET Interactive, LLC and The Hershey Company shall be hereinafter referred to as “Sponsor”) and their respective affiliates, subsidiaries, divisions, advertising and promotion agencies are not eligible to enter. VOID IN PUERTO RICO, OUTSIDE OF THE UNITED STATES, AND WHERE PROHIBITED BY LAW. This Contest is subject to all federal, state and local laws. By entering this Contest, each entrant agrees to release and hold harmless the Sponsor and its respective parent companies, affiliates, subsidiaries, agencies, employees¸ officers, directors, representatives, and advertising and promotion agencies from any injury, loss, death, damage, action, claim, demand or other liability that may occur from entrant’s participation in this Contest or from the acceptance or use of any prize awarded, or attendance at any event. BET.com reserves the right to verify eligibility qualifications of any winner U.S. law governs this Contest. By entering, entrants agree to be bound by these Official Rules. Limit: One entry per person.

3. CONDITIONS OF ENTRY: Incomplete entries are void. By entering, entrants agree to comply with these Official Rules, including all eligibility requirements.

4. PRIZES:
a. Trip to BET’s 2008 Hip Hop Award Show. The South Grand Finalist and the North Grand Finalist will each receive two (2) tickets to the 2008 BET Hip Hop Awards show for the winner and a guest. Each prize includes two (2) round-trip coach class airfares to Atlanta, Georgia from the closest major gateway airport to the Winner’s residence; ground transportation in Atlanta, Georgia, to and from the airport and hotel, and to and from the hotel and BET Hip Hop Awards show; and two (2) nights stay in a hotel (double occupancy) selected by BET.com, in its sole discretion. Approximate Retail Value (ARV) Two Thousand Two Hundred Dollars ($2,200.00) for each Grand Finalist (i.e. Four Thousand Four Hundred Dollars ($4,400) in the aggregate for both Grand Finalists).

b. Miscellaneous. Total ARV may vary depending on time of booking and place of departure. Prize does not include meals, gratuities, ground transportation to and from winner’s residence and the airport, and any other expenses not specifically listed herein shall be the sole responsibility of the Grand Finalists and his or her travel companions. Travel dates and accommodations subject to availability and scheduling; certain restrictions and blackout dates may apply. Prize package has no cash redemption value. If the Grand Finalist cannot travel on any specified dates, prize will be forfeited and the prize may be awarded to an alternate winner. GUEST MUST BE THE PARENT OR LEGAL GUARDIAN OF THE GRAND FINALIST IF THE GRAND FINALIST IS NOT THE LEGAL AGE OF CONSENT IN THE JURISDICTION OF PRIMARY RESIDENCE AT THE TIME OF TRAVEL. ANY FEDERAL AND STATE TAXES ON A PRIZE ARE THE SOLE RESPONSIBILITY OF THE GRAND FINALIST. No substitution or transfer of prizes permitted, except at the sole discretion of BET.com. If prize, or any portion of a prize is unavailable, BET.com reserves the right to substitute that prize or portion of the prize with a prize of equal or greater value. All prizes will be awarded, provided properly claimed.

5. DETERMINATION OF WINNERS: As explained in Section 1 above, BET.com will select eight (8) contestants to compete on each of four (4) North and South pairs. Contestants will be chosen by BET.com, in its sole discretion, based on originality and creativity of their individual rap performances. BET.com will judge contestants performances on the basis of 50% originality and 50% creativity. Their performances will be taped by BET.com and posted on BET.com for voting by BET.com users. Each contestant from the “North” or “South” pairs with the most cumulative votes as the best rapper will become one of the four (4) semi-finalists for the “South” or “North” portion of the Contest, as applicable. The final competition between the four (4) South semi-finalists will be posted online for viewer voting between May 6, 2008 at 12:00 noon EST and May 12, 2008 at 12:00 noon EST, with the “South Grand Finalist” being announced on May 13, 2008. The final competition between the four (4) North semi-finalists will be posted online for viewer voting between June 10, 2008 at 12:00 noon EST and June 16, 2008 at 12:00 noon EST, with the “North Grand Finalist” being announced on June 16, 2008. A final performance by the North Grand Finalist and the South Grand Finalist will be posted online for viewing on or by June 24, 2008.

Finale:
On or after June 17, 2008, the South (Peanut Butter) winner and the North (Chocolate) winner will tape rap performances that will be combined by BET and will air on BET.com on or about June 24, 2008.
Sponsor, as defined herein assumes no responsibility for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, failures, connections, availability, or garbled or jumbled transmissions, or service provider/Internet/website/use net accessibility or availability, traffic congestion, or unauthorized human intervention during the voting process. BET.com will notify winners by phone and/or email after the drawing. If a potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible of if he/she cannot or does not comply with these Official Rules, potential winner will be disqualified and an alternative potential winner may be selected at BET.com’s sole discretion.

6. GENERAL CONDITIONS: Potential winners (their parent/legal guardian if potential winners are residents of a jurisdiction that deems them to be minors) and Guest (if applicable) will be required to sign and return any applicable documents sent by Sponsor related to the Contest, which may include, but are not limited to a Letter of Prize Acceptance, Waiver of Liability, and an Affidavit of Eligibility within 10 days of notification. Failure to return documents as specified or if prize notification is returned as undeliverable will result in entry being disqualified, and an alternate potential winner being selected. Where permitted by law and BET.com’s Privacy Policy, winners (except in the case of a minor) agree to grant to Sponsor and Sponsor’s licensees, affiliates and assigns, the right to print, publish, broadcast and use, worldwide, in any media now known or hereafter developed, including but not limited to the world wide web, at any time or times, the winner’s name, portrait, picture, voice, likeness and biographical information as news or information and for advertising and promotional purposes without additional consideration; and further without such additional compensation, appear for, or provide biographical information for use in, any presentation or other activity which may include filming/audio/video/electronic or other recordings and/or interviews as may be determined by Sponsor. Failure to grant such rights may result in disqualification with an alternate winner or potential winner selected. Further, by accepting a prize, winners (their parent/legal guardians if potential winners are residents of a jurisdiction that deems them to be minors) agree to release and hold harmless Sponsor, its parent, subsidiaries, licensees, affiliates, subsidiaries, advertising and promotion agencies, and their respective directors, officers, employees, representatives, and agents from any and all liability for any injuries, loss, or damage of any kind to person, including death, and property arising whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize, participation in any Contest related activity, or participation in this Contest. Odds of winning depend on the number of eligible entries received. IN NO EVENT WILL SPONSOR, ITS PARENT, SUBSIDIARY, LICENSEES, AND OR AFFILIATES AND RELATED COMPANIES, THEIR SPONSORS, ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPERESENTATIVES, AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT INCIDENTAL, CONSEQUENTAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO USE OF INTERNET SITE WWW.BET.COM OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THIS SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS, FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. BET.com reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Contest or Website; to be in violation of the Terms of Service of the BET.com’s web site, to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any use of robotic, automatic, macro, programmed, or like entry methods will void all such entries by such methods. In the event of a dispute as to entries submitted by multiple users having the same email account, the authorized subscriber of the email account used to enter the Contest at the actual time of the entry will be deemed to be the participant and must comply with these rules. Authorized account subscriber is deemed to be the natural person who is assigned an email address by an Internet access provider, online service provider or other organization, which is responsible for assigning email addresses email, addresses or the domain associated with the submitted email address.

7. DISPUTES: As a condition of participating in this Contest, entrant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in the District of Columbia having competent jurisdiction, which Court shall apply the laws of the District of Columbia without regards for doctrines of Conflict of Law. Further, in any such dispute, under no circumstances will entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, nor consequential damages, or any other damages, including attorney’s fees, other than entrant’s actual out-of-pocket expenses (i.e., costs associated with entering this Contest), and entrant further waives all rights to have damages multiplied or increased.

8. WINNERS’ LIST: For a list of prize winners, available after July 16, 2008, mail a self-addressed stamped envelope to: “The Perfect Combination Rap Challenge” BET.com, 810 Seventh Avenue, 4th Floor, New York, NY 10019. Washington and Vermont residents may omit return postage when requesting list of prize winners.
