1. “APOLLO LIVE” VARIETY ACTS COMPETITION RULES

ELIGIBILITY:  This competition (“Competition”) is open only to amateur performers (excluding solo singers) who are U.S. citizens and legal residents of the 50 United States and the District of Columbia (excluding Puerto Rico, the U.S. Virgin Islands, and other commonwealths, territories and possessions), 18 YEARS OR OLDER and not considered a minor in their state of residence on the date of said audition.  Employees, and their immediate families (spouses, parents, children, siblings, and their respective spouses), including household members of Black Entertainment Television LLC (“BET” or “Producer”), Viacom, Don Weiner Enterprises, Foxx/King Productions, Apollo Theatre, sponsors, and their respective parent companies, affiliates, subsidiaries, agencies, employees, officers, directors, representatives, divisions, advertising and promotion agencies or any person or entity connected with the production, administration or judging of the Competition (collectively, the “Released Parties”) are not eligible to enter.  By entering this Competition, each contestant (“Contestant”) agrees to release and hold harmless the Released Parties from any injury, loss, death, damage, action, claim, demand or other liability that may occur from Contestant’s participation in this Competition and/or the Program (defined below) (including attendance at any Competition-related event or activity) or from the acceptance, use or misuse of any prize awarded.  


At all times throughout the Competition, Contestants must conduct themselves with due regard to public convention and morals, and shall not commit any act or become involved in any situation or occurrence that tends to bring them, other Contestants, the Judges (defined below), host, special correspondent(s), and/or the Released Parties public ridicule, or that shall reflect unfavorably on the reputation of the Released Parties or their parent and affiliated companies.  Contestants shall refrain from making disparaging or derogatory statements regarding the Released Parties and their parent or affiliated companies or any of the directors, officers, representatives or other management personnel thereof.  To the extent that Contestants have been made aware of such, they shall abide by all reasonable rules and regulations of Producer, the locations of the Competition the Released Parties(s) and their advertising agencies.  Contestants shall conduct themselves on-air with due regard to the rights of all other persons and entities and shall not knowingly, directly or indirectly, commit any libel or slander or infringe upon any trademark, copyright, right of privacy, right of publicity or other proprietary rights of any person or entity in connection with the Program or any episodes thereof.  Failure by a Contestant to comply with this Section shall be deemed a material breach of these Competition Rules (hereinafter the “Rules”).  BET reserves the right to verify eligibility qualifications of any Contestant at any phase of the Competition and to disqualify any Contestant or Final Contestant (defined below) who fails a background or identity check, violates any eligibility requirement or Rules, or for any other reason whatsoever determined in BET’s sole discretion.


HOW TO ENTER:  This Competition consists of three (3) phases and is open to Contestants who audition at one of the Locations (as defined below) and to individuals and groups who have previously appeared on “Amateur Night at the Apollo”.  Auditions are scheduled to be held at the following locations (individually, the “Location”) and are subject to change.  Contestants must arrive to the Location two (2) hours prior to the audition closing time specified on the Website (defined below) and should not arrive at any Location earlier than two (2) hours before the audition starting time. Early arrival is highly discouraged.  Released Parties shall not be liable for any loss, damage, or otherwise arising out of connection with Contestant’s early arrival to the Location.  Contestants will be seen on a first-come, first-served basis.  Producers will make its best efforts to see all Contestants, but cannot guarantee that time will permit everyone to be seen.  BET reserves the right to modify, suspend, or terminate the Competition in whole or in part by giving such notice, in any form and manner deemed appropriate by BET.

PHASE 1 (Registration Process):  Log on to www.bet.com/apollo (the “Website”) to download the Application Packet and for the most up to date information pertaining to the Competition, including, but not limited to, audition Locations, dates, and times.  While, BET is open to considering all types of amateur performers, we will not be auditioning animal or pyrotechnic acts of any kind at this time.  Contestants are allowed to bring props and a CD of their music to the audition.  BET will make its best efforts to playback the music for their performance. However, BET reserves the right in its sole discretion to refuse any performer from auditioning.  Contestants must bring a fully completed Application Packet, government-issued photo identification (e.g., passport or driver’s license), and proof of U.S. citizenship (e.g., birth certificate or proof of legal residence) to the Location.  Failure to bring the foregoing documents, will result in disqualification and Contestant will not be allowed to audition.  A limited number of Application Packets will be available at each Location.  BET will photograph and film all Contestants as they go through the audition process, including registration.  As a result, Contestants must refrain from wearing any clothing or apparel which may contain any (1) proprietary material (e.g., logos or trademarks); (2) personally identifiable information (e.g., full name, e-mail address or website); or (3) derogatory material (e.g., slang, profanity or gang signs).  BET reserves the right in its sole discretion to cover the foregoing clothing or apparel or request a Contestant to change for any reason.  THE APPLICATION PACKET MUST BE FILLED OUT COMPLETELY, ACCURATELY AND TRUTHFULLY.  IF A CONTESTANT FAILS TO COMPLETE ANY GIVEN FORM, GIVE ANY FALSE INFORMATION, OR FAIL TO REVEAL ANY PERTINENT INFORMATION, HE/SHE MAY BE DISQUALIFIED FROM THE COMPETITION.


PHASE 2 (Audition Process):  Once the registration process is completed and all required paperwork has been received by BET, each Contestant auditioning at one of the Locations will receive a Contestant Identification Number which must be securely fastened to the front of their clothing and clearly visible at all times.  Contestants will be taken to a holding room where they will await further instructions from Producer on the audition process.  Contestants will be divided into small groups of ten (10) to twenty (20) people determined in BET’s sole discretion and escorted to the audition room where they will await the opportunity to perform in front of a panel of judges (the “Judges”) selected in BET’s sole discretion.  Each Contestant will be required to perform for up to twenty seconds (00:20).  The Judges will have full discretion to determine the length of each Contestant’s performance.  At any time during each Contestant’s performance, the Judges may elect to dismiss the Contestant from the audition process, request the Contestant to continue with their performance, request the Contestant to start a new performance or require the Contestant to wait until the Judges provide further notice.  Contestants who have previously appeared on “Amateur Night at the Apollo” will work with Producer to provide all necessary paperwork.  Judges will determine in their sole discretion which Contestant(s) will advance for an opportunity to be selected as a potential final contestant (“Final Contestant”) and appear on the “Apollo Live” taping at the Apollo Theater July 9-17, 2012 (the “Program”) or be eliminated from the Competition.  Contestants eliminated should immediately gather their belongings and depart from the Location, unless directed otherwise by Producer.  Contestants advancing as a potential Final Contestant will be directed to a holding room where they will await further instructions from Producer.  The potential Final Contestant list will be determined by Producer and Judges in their sole discretion whose decision is final and binding.  The potential Final Contestant list will be determined on or about thirty (30) days from the last audition date.  The potential Final Contestants will not be determined, announced, or finalized at any of the Locations.  No matter what the Producers or Judges verbally tell the Contestants during the auditions, he/she has not advanced as a potential Final Contestant until BET and the Judges have evaluated the entire potential Final Contestant pool, BET has conducted background and/or identity checks on the potential Final Contestants, and BET has received all of the potential Final Contestant’s completed necessary paperwork required to participate in the Program.  Once selected, all Final Contestants will be notified by BET by phone and/or e-mail and will receive a Confirmation Letter, Contestant Agreement, and any other required documents.  The selection process shall be conducted under the supervision of Producer.  Until a contestant receives and executes a Contestant Agreement AND ANY OTHER REQUIRED DOCUMENTS AND HAS CLEARED A BACKGROUND AND/OR IDENTITY CHECK, he/she is NOT CONFIRMED AS a final contestant TO appear on the Program.  PARTICIPATION in the program shall be subject to the contestant completing and satisfying all required Background and/OR identity checks as may be required by bet, the u.s. government or other authority.  each contestant acknowledges that HE/SHE may be a part of the audition process but may not be allowed to participate in the program.  Until the Contestant Agreement and all related agreements are executed and returned TO BET, all contestants shall consider themselves POTENTIAL FINAL CONTESTANTS.


PHASE 3 (Competition Process):  The Program will consist of up to two (2) Final Contestants per episode.  Final Contestants are responsible for any and all travel expenses (e.g., airfare, ground transportation, and hotel accommodations) throughout the taping of the Program.  On each episode, Final Contestants will have up to sixty seconds (00:60) to perform in front of a live audience. The audience can “boo” Contestants, Producers in their sole discretion, will determine whether the audience “boos” will end a Contestant’s performance. Those Final Contestants that perform their entire sixty second (00:60) performance without being booed by the live audience, determined in Producer’s sole discretion, will be selected as the winner(s) for that episode (collectively, the “Winners”).  The selection process shall be conducted under the supervision of Producer.  Producer shall select the Winners in its sole discretion whose decision is final and binding.  


PRIZE:  On each episode, the Winners will receive One Thousand Dollars ($1,000.00) in the form of a BET check  (collectively, the “Prize”).  Prize does not include any travel expenses arising out of participation in the Competition or Program or any other expenses not specified herein.  Any federal and state taxes on the Prize are the sole responsibility of the Winner.  No substitution or transfer of prizes permitted, except at the sole discretion of BET.  If a prize is unavailable, BET reserves the right to substitute a prize of equal or greater value.


GENERAL CONDITIONS:  In addition to any other previously required documents, the Winners will be required to sign and return an Affidavit of Liability and Publicity Release and any other required documents within five (5) days of notification.  Failure to return these documents, or if prize notification is returned as undeliverable will result in forfeiture or delayed processing of the Prize.  The Winners agree to grant to Released Parties and Released Parties’ licensees, affiliates and assigns, the right to print, publish, broadcast and use, worldwide, in any media now known or hereafter developed, including but not limited to the world wide web, at any time or times, their audition, name, portrait, picture, voice, likeness and biographical information as news or information and for advertising and promotional purposes without additional consideration; and further without such additional compensation, appear for, or provide biographical information for use in, any presentation or other activity which may include filming/audio/video/electronic or other recordings and/or interviews as may be determined by Released Parties.  Failure to make such appearances or grant such rights may result in disqualification and an alternate winner may be selected; and while not obligated to do so, Released Parties may in their sole discretion, bear such reasonable costs and expenses which Released Parties, in their sole discretion, deem appropriate for the Winners to appear for a presentation or other activity.  Further, by accepting the Prize, the Winners agree to release and hold harmless Released Parties, and their parent, subsidiaries, licensees, affiliates, subsidiaries, advertising and promotion agencies, and their respective directors, officers, employees, representatives, and agents from any and all liability for any injuries, loss, or damage of any kind to person, including death, and property arising whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize, participation in any Competition-related activity, or participation in this Competition and/or Program.  IN NO EVENT WILL RELEASED PARTIES, THEIR PARENT, SUBSIDIARY, LICENSEES, AND OR AFFILIATES AND RELATED COMPANIES, THEIR RELEASED PARTIES, ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO USE OF INTERNET SITE www.BET.COM OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE.  WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THIS SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS, FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.  CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.


Released Parties reserve the right, in their sole discretion, to disqualify any individual they find, in their sole discretion, to be tampering with the process or operation of the Competition, Program, or Website; to be in violation of the Terms of Service of BET’s web site, to be acting in violation of the Competition Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.  Any use of robotic, automatic, macro, programmed, or like entry methods will void all such entries by such methods.  


DISPUTES:  As a condition of participating in this Competition, Contestant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Competition or Program, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in the State of New York having competent jurisdiction, which Court shall apply the laws of the State of New York without regard for doctrines of Conflict of Law.  Further, in any such dispute, under no circumstances will Contestant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, or any other damages, including attorney’s fees, other than entrant’s actual out-of-pocket expenses (i.e., costs associated with entering this Competition), and Contestant further waives all rights to have damages multiplied or increased.


PUBLICITY: All publicity, paid advertisements, press notices, interviews and other information with respect to the Competition shall be under Producer’s sole control and all information pertaining to the Competition, Contestant’s duties and obligations pursuant to these Competition Rules, the terms of these Rules and all business and activities of Producer, Released Parties their related and affiliated entities and all of its employees and agents, shall be kept strictly confidential by Contestant and Contestant shall not issue nor consent to, nor authorize any person or entity to release any such information without Producer’s express prior written approval in each instance. Under no circumstances shall Contestant, or any person or entity on Contestant’s behalf use or employ any of the names, marks or logos of BET, Centric or any other BET Networks or Viacom entity for any purpose with the prior, express, written permission of BET Networks.

PHASE 3 (Competition Process):  The Program will consist of up to eight (8) solo singers per episode determined in Producer’s sole discretion.  Final Contestants are responsible for any and all travel expenses (e.g., airfare, ground transportation, and hotel accommodations) throughout the taping of the Program.  On each episode, Final Contestants will have up to ninety seconds (00:90) to perform their pre-approved song in front of a live audience. The audience can “boo” Contestants, Producers in their sole discretion, will determine whether the audience “boos” will end a Contestant’s performance.  Once all Final Contestants have performed, they (excluding those “booed” by the live audience) will be brought back on stage at which time the live audience will be asked to applaud for their favorite.  The Final Contestant with the loudest applause determined in Producer’s sole discretion, will be selected as the winner for that episode (the “Winners”).  The selection process shall be conducted under the supervision of Producer.  Producer shall select the Winners in its sole discretion whose decision is final and binding.  


PRIZE:  One (1) Winner per episode will receive Five Thousand Dollars ($5,000.00) in the form of a BET check (the “Prize”).  Prize does not include any travel expenses arising out of participation in the Competition or Program or any other expenses not specified herein.  Any federal and state taxes on the Prize are the sole responsibility of the Winners.  No substitution or transfer of prizes permitted, except at the sole discretion of BET.  If a prize is unavailable, BET reserves the right to substitute a prize of equal or greater value.


GENERAL CONDITIONS:  In addition to any other previously required documents, the Winners will be required to sign and return an Affidavit of Liability and Publicity Release and any other required documents within five (5) days of notification.  Failure to return these documents, or if prize notification is returned as undeliverable will result in forfeiture or delayed processing of the Prize.  The Winners agree to grant to Released Parties and Released Parties’ licensees, affiliates and assigns, the right to print, publish, broadcast and use, worldwide, in any media now known or hereafter developed, including but not limited to the world wide web, at any time or times, their audition, name, portrait, picture, voice, likeness and biographical information as news or information and for advertising and promotional purposes without additional consideration; and further without such additional compensation, appear for, or provide biographical information for use in, any presentation or other activity which may include filming/audio/video/electronic or other recordings and/or interviews as may be determined by Released Parties.  Failure to make such appearances or grant such rights may result in disqualification and an alternate winner may be selected; and while not obligated to do so, Released Parties may in their sole discretion, bear such reasonable costs and expenses which Released Parties, in their sole discretion, deem appropriate for the Winners to appear for a presentation or other activity.  Further, by accepting the Prize, the Winners agree to release and hold harmless Released Parties, and their parent, subsidiaries, licensees, affiliates, subsidiaries, advertising and promotion agencies, and their respective directors, officers, employees, representatives, and agents from any and all liability for any injuries, loss, or damage of any kind to person, including death, and property arising whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize, participation in any Competition-related activity, or participation in this Competition and/or Program. IN NO EVENT WILL RELEASED PARTIES, THEIR PARENT, SUBSIDIARY, LICENSEES, AND OR AFFILIATES AND RELATED COMPANIES, THEIR RELEASED PARTIES, ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO USE OF INTERNET SITE www.BET.COM OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE.  WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THIS SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS, FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.  CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.


Released Parties reserve the right, in their sole discretion, to disqualify any individual they find, in their sole discretion, to be tampering with the process or operation of the Competition, Program, or Website; to be in violation of the Terms of Service of BET’s web site, to be acting in violation of the Competition Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.  Any use of robotic, automatic, macro, programmed, or like entry methods will void all such entries by such methods.  


DISPUTES:  As a condition of participating in this Competition, Contestant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Competition or Program, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in the State of New York having competent jurisdiction, which Court shall apply the laws of the State of New York without regard for doctrines of Conflict of Law.  Further, in any such dispute, under no circumstances will Contestant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, or any other damages, including attorney’s fees, other than entrant’s actual out-of-pocket expenses (i.e., costs associated with entering this Competition), and Contestant further waives all rights to have damages multiplied or increased.


PUBLICITY: All publicity, paid advertisements, press notices, interviews and other information with respect to the Competition shall be under Producer’s sole control and all information pertaining to the Competition, Contestant’s duties and obligations pursuant to these Competition Rules, the terms of these Rules and all business and activities of Producer, Released Parties their related and affiliated entities and all of its employees and agents, shall be kept strictly confidential by Contestant and Contestant shall not issue nor consent to, nor authorize any person or entity to release any such information without Producer’s express prior written approval in each instance. Under no circumstances shall Contestant, or any person or entity on Contestant’s behalf use or employ any of the names, marks or logos of BET, Centric or any other BET Networks or Viacom entity for any purpose with the prior, express, written permission of BET Networks.
