1.     Offer Overview

Be one of the first 500 people to send an email to BETplus-holidays@slant.la as instructed in Section 4 below for a chance to win a BET+ Holiday gift box (the “Promotional Item”) starting at  12:00 p.m. Eastern Standard Time (“EDT”) on December 11, 2023.    Limit one (1) Promotional Item per person permitted. Promotion Item is not valid for cash equivalent. Requests will be honored on a first-come, first-served basis while supplies last. Use of multiple email addresses /accounts to obtain additional Promotional Items is considered fraudulent). Sponsor reserves the right to withdraw or modify  this Offer at any time.

2.     Offer Eligibility:

This Offer is open only to those who (a) are legal residents of the 50 United States (the “Territory”), who have a valid email address and who are at least eighteen (18) years of age as of December 11, 2023. Employees of Black Entertainment Television LLC on behalf of BET+ (“Sponsor”), Paramount Global, Slant LA (“Promotion Administrator") and their respective parent companies, subsidiaries, affiliates, officers, directors, governors, owners, partners, distributors, retailers, advertising/promotion/service agencies, dealers, licensors, agents, suppliers, independent contractors and each of their immediate family members (defined as any spouse, partner, parent, legal guardian, sibling, child, legal ward, grandparent, or grandchild, regardless of where they reside) and/or those living in the same household of any such person (whether or not related) are not eligible for this Offer. Void outside of the Territory and where prohibited or restricted by law. By participating in this Offer, participants (a) agree to be bound by these Terms and by the interpretations of these Terms by Sponsor and Promotion Administrator, and by the decisions of Sponsor and Promotion Administrator, which are final in all matters relating to this Offer; (b) release and hold harmless the Promotion Entities (hereinafter defined) from and  against any and all claims, injury or damage arising out of or relating to participation in this Offer and/or use or misuse or redemption of a Promotional Item and (iii) acknowledge compliance with these Terms.

3.     Offer Dates:

The Offer starts at 12:00 p.m. (EST) on December 11, 2023 and ends at 11:59 p.m. on December 11, 2023 OR when all 500 Promotional Items have been claimed, whichever occurs first (the “Promotion Period”).

4.     How to Participate:

During the Promotion Period, send an  email to BETplus-holidays@slant.la and include your (a) name, (b) mailing address, including apartment/unit# (c) date of birth and (d) phone number.  By sending this email, you accept and agree to: (i) these Terms and (ii) sharing your personal information with Slant LA which will be used in accordance with the terms of  Slant LA’s Privacy [https://www.slant.la/terms-policies]. In the event of a dispute over who submitted a winning entry the authorized subscriber of the e-mail account used to participate in this Offer at the actual time of entry, will be deemed to be the participant. The authorized account subscriber is defined as the natural person who is assigned an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, education, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. All entries become the property of Promotion Administrator and will not be acknowledged or returned.

The chances of receiving a Promotional Item will depend on the timing of your request in relation to other participants’ and availability of Promotional Items at the time of request.  

Sponsor is not responsible for any delay or cancellation of the Offer due to unforeseen circumstances, or those outside of Sponsor’s control. Promotional items may not be offered for sale or exchange,  are non-transferable and may not be redeemed for cash.

6.     General Terms:

Participation in this Offer constitutes agreement that  Sponsor, Promotion Administrator and all related parties involved in this  Offer (the “Promotion Entities”), are not responsible or liable for: (a) electronic transmissions or submissions that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, or misdirected; (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation of transmission, communication failures, destruction or unauthorized access to, or alteration of, submissions or (c) failed or unavailable hardware, network, software or telephone transmissions, damage to offer participant’s or any person’s computer, mobile device and/or its contents, or causes beyond Sponsor’s or Promotion Administrator’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Offer.  If for any reason this offer cannot be executed as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of this offer or if this offer is compromised or becomes technically corrupted in any way, electronically or otherwise, the Sponsor reserves the right to terminate or suspend the Offer.

IN NO EVENT WILL SPONSOR OR PROMOTION ADMINISTRATOR BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING OUT OF THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF, OR PARTICIPATION IN, ANY SERVICES OR ITEMS AWARDED IN CONNECTION WITH THE OFFER. WITHOUT LIMITING THE FOREGOING, THE OFFER, ALL ITEMS, AND ALL MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BY PARTICIPATING IN THIS OFFER, PARTICIPANT AGREES THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW: (i) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS OFFER, OR ANY ITEMS AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (ii) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (iii) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES (OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00)) AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) PARTICIPANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU. 

Without limiting any other provision in these Terms, the Promotion Entities is not responsible or liable to any participant (or any person claiming through such participant) for failure to supply a Promotional Item or in the event that any of the Offer activities or Promotion Entities’ operations or activities are affected by any cause or event beyond the sole and reasonable control of Sponsor (as determined by Sponsor in its sole discretion), including, without limitation, by reason of any acts of God, equipment failure, threatened or actual terrorist acts, air raid, act of public enemy, war (declared or undeclared), civil disturbance, insurrection, riot, epidemic, fire, explosion, earthquake, flood, hurricane, unusually severe weather, blackout, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, any law, rule, regulation, action, order, or request adopted, taken, or made by any governmental or quasi-governmental entity (whether or not such governmental act proves to be invalid), or any other cause, whether or not specifically mentioned above.

EACH PARTICIPANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER AGAINST THE PROMOTION ENTITIES.  SECTION 1542 READS AS FOLLOWS:

“CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms or the rights and obligations of participants or Sponsor in connection with the Offer will be governed by and construed in accordance with the internal laws of the State of New York, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws.
